Website Services Terms
This Agreement is organized into parts. Part A contains terms specific to Management Plans and applies only where Client has selected one. Part B contains general terms that apply regardless of what Client has selected. The Management Plans and Hosting sections below set out plan- and hosting-specific pricing, hours, and feature detail, and are incorporated into and form part of this Agreement.
Commencement of Services
1. The Effective Date stated on Client’s Order Form marks the start of this Agreement as a contractual relationship — including the general terms in Part B (confidentiality, governing law, and similar) — and does not by itself commence any specific service.
2. Each service Client selects — Management Plan, Hosting, or any other service governed by a separate section of this Agreement — commences according to the trigger defined in that section. Commencement of one service does not depend on, or trigger, commencement of any other.
3. For purposes of Section B5 (Limitation of Liability), the six (6) month trailing period for any claim arising under a specific service is measured from that service’s own Service Commencement Date as defined in its respective section, not from the Agreement Effective Date or any earlier billing-related date.
PART A: MANAGEMENT PLAN TERMS
This Part applies only where Client has an active Management Plan. Clients with hosting only, and no active Management Plan, do not receive the services described in this Part — see the Hosting section for applicable terms.
A1. Plan Commencement
A1.1 Billing Commencement. Billing for the Management Plan begins upon Provider’s receipt of Client’s initial payment (the “Plan Billing Date”).
A1.2 Service Commencement. Management Plan services commence once Client’s site has been added to Provider’s monitoring and management systems (the “Plan Commencement Date”). This follows promptly after the Plan Billing Date and is not contingent on prior remediation, migration, or onboarding work being complete.
A2. Incident Response
A2.1 Free Triage. Provider will investigate and diagnose any reported site issue — including downtime, security incidents, or critical malfunctions — at no charge and without requiring prior approval, regardless of which Management Plan is selected. This includes confirming the issue, identifying the likely cause, and providing Client with an estimate of what remediation will require.
A2.2 Remediation. How remediation beyond initial triage is drawn — from bundled remediation hours, maintenance hours, or overage — is specified under Client’s selected Management Plan below.
A2.3 Active Outages. In the event of an active site outage or security compromise, Provider will begin remediation immediately, without prior approval, given the time-sensitive nature of such issues, and will notify Client as soon as practical once work has begun. Billing for immediate-response work follows the remediation cascade set out in Section A2.2 and Client’s Management Plan, drawing on available maintenance hours before any overage billing begins.
A2.4 Recurring Issues. If an issue recurs due to an unresolved underlying cause, Provider may recommend a scoped fix rather than continuing to bill repeated remediation for the same root cause.
A3. Overage Work
Hosting-related escalation (for sites exceeding typical resource use) is governed separately by Section H6 below, not by this Section.
A3.1 Any work requested by Client, or required for remediation, that exceeds available maintenance hours or bundled remediation hours for the applicable month will be estimated by Provider in advance, including anticipated time and cost, except as provided in Section A2.3.
A3.2 Client approval is required before overage work begins, except for active outages under Section A2.3.
A3.3 Approved overage work is billed at Provider’s Hourly Rate (Section B1.1) on a separate invoice from the standing plan fee, issued after the work is completed and reflecting the prior billing period’s approved work. Payment terms for overage invoices are set out in Section B1.
A4. Rollback & Staging
A4.1 All Management Plans include rollback protection: if an update causes a problem, the site can be restored to its last working state.
A4.2 Where Client’s hosting provider offers staging as a feature but it has not yet been configured, Provider will set it up as a one-time task. Maintenance hours available for the current month may be applied toward this setup, with any remaining time billed as overage per Section A3. Provider does not currently offer staging environment setup for hosts that do not natively support it.
A4.3 Whether Provider proactively uses a staging environment to test updates before deployment on Client’s site — and how often — is specified under Client’s selected Management Plan below, and is contingent on host support in all cases.
A5. Services Not Included
The Management Plan covers technical maintenance, security monitoring, and performance management as described under Client’s selected Management Plan below. The following are outside the scope of the Management Plan and available as separate engagements:
- SEO strategy, keyword research, and link-building
- Content creation, copywriting, and content marketing
- Analytics and conversion reporting
- Accessibility (WCAG/ADA) compliance audits
- Graphic design and branding work beyond basic photo editing
A6. Third-Party Hosting & Infrastructure Limitations
A6.1 Where Client’s website is hosted on infrastructure other than Provider’s own, the reliability of Provider’s monitoring, update, and maintenance tools may be affected by that hosting environment’s own security configuration, firewall behavior, or resource limitations, in ways outside Provider’s control.
A6.2 Where such limitations prevent Provider’s tools from reliably accessing Client’s site, Provider will take reasonable alternative measures to complete scheduled updates and required maintenance. Provider is not liable for delays in update cycles or maintenance activity caused by Client’s hosting environment, and reserves the right to recommend a change in hosting if such issues become recurring and unresolvable.
MANAGEMENT PLANS
Management Plans. The following Website Management Plans are available under this Agreement. Client’s selected plan, pricing, and commencement date are set forth in the Order Form executed or accepted by Client. Only the plan so selected governs Client’s engagement; reference to other plans herein does not grant Client any rights or services beyond those in the selected plan. Client’s plan may be changed only as set forth in Section B4.4 below.
Foundation Plan
Monthly Fee: $100/month
Monitoring & Scanning: Uptime, performance (mobile & desktop), domain & SSL, PHP error, database health, vulnerability, and broken link/redirect monitoring.
Management: Core, plugin, and theme updates applied monthly. Server & login hardening. Rollback protection per Section A4. Daily backup monitoring. Restore testing is not included with this plan.
Incident Response:
- Free triage and diagnosis, as described in Section A2.
- Remediation beyond triage draws from: (1) available maintenance hours for the current month, if Client approves using them for this purpose; then (2) overage, billed per Section A3. This plan does not include bundled remediation hours.
- Response time: 2–3 business days.
Logging & Reports: Not included with this plan.
Maintenance Hours: 1 hour/month. Hours reset monthly and do not roll over.
Staging: Provider does not proactively test updates on a staging environment with this plan; rollback protection (Section A4.1) is the safety net for all updates. Staging environment setup, where Client’s host supports it, remains available per Section A4.2.
Professional Plan
Monthly Fee: $250/month
Monitoring & Scanning: Everything in Foundation, plus daily malware scanning.
Management: Core, plugin, and theme updates applied bi-weekly. Server & login hardening. Active firewall with virtual patching. Known-threat IP blocking. Rollback protection per Section A4. Daily backup monitoring, with quarterly backup restore verification.
Incident Response:
- Free triage and diagnosis, as described in Section A2.
- Remediation beyond triage draws from, in order: (1) this month’s bundled remediation hours (1 hour/month); (2) available maintenance hours for the current month, if remediation hours are exhausted and Client approves using maintenance hours for this purpose; then (3) overage, billed per Section A3.
- Response time: next business day.
Logging & Reports: Security activity log. Quarterly site health report.
Maintenance Hours: 2 hours/month. Hours reset monthly and do not roll over.
Staging: Provider will test major updates on a staging environment prior to deployment where Client’s host supports it; rollback protection (Section A4.1) applies to all updates regardless. Dedicated staging environment setup, where Client’s host does not natively support it, remains available per Section A4.2.
Priority Plan
Monthly Fee: $500/month
Monitoring & Scanning: Everything in Professional.
Management: Core, plugin, and theme updates applied weekly. Server & login hardening. Active firewall with virtual patching. Known-threat IP blocking. Rollback protection per Section A4. Hourly backups, with quarterly backup restore verification.
Incident Response:
- Free triage and diagnosis, as described in Section A2.
- Remediation beyond triage draws from, in order: (1) this month’s bundled remediation hours (2 hours/month); (2) available maintenance hours for the current month, if remediation hours are exhausted and Client approves using maintenance hours for this purpose; then (3) overage, billed per Section A3.
- Response time: same business day.
Logging & Reports: Security activity log. Monthly site health report.
Maintenance Hours: 4 hours/month. Unused maintenance hours roll over for one (1) additional month before expiring; base hours are used before any rolled-over hours. Bundled remediation hours do not roll over under any circumstances.
Staging: Provider will test every update on a staging environment prior to deployment where Client’s host supports it; rollback protection (Section A4.1) applies to all updates regardless. Dedicated staging environment setup, where Client’s host does not natively support it, remains available per Section A4.2.
HOSTING
This section applies where Client has selected Hosting on the Order Form. Where this section conflicts with the general terms in Part B for matters specific to hosting, this section controls.
H1. Scope of Service
Provider will provide Business Hosting for the website identified on Client’s Order Form, including server infrastructure, DNS management, SSL certificate provisioning and renewal, automated backups, and uptime monitoring.
H1.1 Hosting includes unlimited email accounts, forwarders, and autoresponders using Client’s domain address.
H1.2 Hosting does not include incident triage, remediation, or maintenance hours. Those services are exclusive to Client with an active Management Plan. A Client with hosting only, and no active Management Plan, receives infrastructure and backup services as described above, without the response, triage, or hands-on support described under Part A and the Management Plans section.
H1.3 Billing Commencement. Billing for Hosting begins upon Provider’s receipt of Client’s initial payment (the “Hosting Billing Date”), which authorizes Provider to cue provisioning of server space for Client’s website.
H1.4 Service Commencement. Hosting service commences once server space has been fully provisioned (the “Hosting Commencement Date”). Provisioning follows promptly after the Hosting Billing Date and is not contingent on migration status, build timeline, or DNS cutover.
H2. Pricing
H2.1 Standalone Rate. $12/month, billed per the terms of Section B1.
H2.2 Bundled Rate. $6/month (50% off standalone), contingent on Client’s concurrent enrollment in an active Management Plan.
H2.3 Reversion. Upon termination or cancellation of Client’s Management Plan, hosting reverts to the standalone rate under Section H2.1, effective the next billing cycle following cancellation.
H3. Migration
Migration of a website to Provider’s hosting infrastructure, where applicable, is quoted and governed separately as a standalone project engagement, and is not part of this Agreement.
H4. Term
Hosting has no minimum term and follows the termination provisions of Section B4. Client may cancel hosting at any time per those provisions, and monthly billing ends effective the cancellation date.
H5. Services Not Included
Hosting does not include:
- Incident triage, remediation, or maintenance hours (see Section H1.2)
- Domain registration
- SEO strategy, keyword research, and link-building
- Content creation, copywriting, and content marketing
- Analytics and conversion reporting
- Accessibility (WCAG/ADA) compliance audits
- Graphic design and branding work beyond basic photo editing
H6. Resource Usage & Fair Use
H6.1 Pricing under Section H2 is designed for typical small business websites with modest, steady traffic and resource demands. It is not intended for high-traffic sites, e-commerce stores with significant transaction volume, or sites with resource-intensive functionality (large media libraries, custom applications, high-volume forms or integrations, and similar).
H6.2 Provider reserves the right to monitor resource usage (including bandwidth, storage, CPU, and memory) across hosted sites to maintain fair use and consistent performance.
H6.3 If Client’s website usage materially exceeds what is typical for the hosting described in Section H1, Provider will notify Client and discuss options, which may include:
- A custom hosting plan tailored to Client’s specific needs — which may include a dedicated hosting account or a more robust cloud-based hosting environment, quoted separately;
- Optimizing the site to reduce resource consumption; or
- Migrating to hosting better suited to Client’s needs.
H6.4 Provider will make reasonable efforts to work with Client toward a resolution before any service interruption occurs due to resource usage.
PART B: GENERAL TERMS
This Part applies regardless of what Client has selected.
B1. Billing & Payment Terms
B1.1 Hourly Rate. Provider’s hourly rate under this Agreement is $75/hour (the “Hourly Rate”), applicable to overage work and any other hourly billing referenced in this Agreement.
B1.2 Billing Cycle. Provider will invoice Client in advance for each upcoming month’s fees under any active Management Plan and/or Hosting. Overage charges, if any, are billed separately for the prior month’s approved work.
B1.3 Due Date. Monthly invoices are due upon receipt, unless an alternate due date has been agreed in writing to accommodate Client’s documented accounts payable cycle.
B1.4 Overage Invoice Due Date. Overage invoices are due within thirty (30) days of the invoice date, distinct from the monthly invoice’s due date under Section B1.3.
B1.5 Automatic Payment. Client may authorize automatic payment via the payment method on file for monthly fees. Client not enrolled in automatic payment remains subject to the due date in Section B1.3. Overage invoices are not billed via automatic payment and are due per Section B1.4.
B1.6 Late Payment.
- Payments not received within the applicable due date (Section B1.3 or B1.4) shall accrue interest at a rate of 1.5% per month on the outstanding balance.
- Invoices unpaid 6–14 days past their due date result in active work under any Management Plan (maintenance hours, bundled remediation hours) being paused until payment is received. Hosting, monitoring, and backups continue uninterrupted during this period.
- Invoices unpaid 15 or more days past their due date result in suspension of active management services and/or hosting, as applicable. Provider will retain backups for 30 days following suspension before archival or deletion.
B1.7 Reinstatement. Services may be reinstated upon payment of all outstanding amounts.
B2. Client Responsibilities
B2.1 Client will provide Provider with necessary access credentials (hosting, site admin, domain registrar as applicable) and will notify Provider of any other parties with administrative access to the site.
B2.2 Client will respond to Provider’s requests for approval on estimated overage work in a timely manner to avoid delays in requested work.
B2.3 Client is responsible for providing accurate billing and payment information, including notifying Provider of any changes to accounts payable processes relevant to Section B1.3.
B3. Intellectual Property & Ownership
B3.1 Client owns all rights to their website content, any custom code developed specifically for Client under this Agreement, and any materials Client provides to Provider (images, copy, branding assets, and similar).
B3.2 Provider retains ownership of its own proprietary tools, scripts, configurations, and processes used to deliver the Services, and grants Client a non-exclusive right to their continued benefit for as long as this Agreement remains in effect.
B3.3 Premium plugin, theme, or third-party service licenses purchased by Provider on Client’s behalf remain Provider’s property unless otherwise agreed in writing. Upon termination, Provider will reasonably cooperate with Client’s transition to Client’s own licenses for any such tools Client wishes to continue using, at Client’s cost.
B4. Term & Termination
B4.1 This Agreement begins on the Effective Date and continues on a month-to-month basis until terminated by either party with 30 days’ written notice.
B4.2 Upon termination, Provider will invoice no further monthly fees beyond the billing cycle in which the notice period under Section B4.1 expires. Fees already paid for that final billing cycle are non-refundable. Client’s final invoice will include only any outstanding approved overage from the prior period.
B4.3 Provider will retain backups for 30 days following termination before archival or deletion, allowing Client a reasonable window to request site data.
B4.4 Plan Changes. Client may change their Management Plan and/or Hosting selection by submitting a new Order Form reflecting the update and accepting these Terms as they apply to the new selection; the change takes effect on the next billing cycle. If Client is subject to a promotional rate at the time of a Management Plan change, the same discount percentage will be reapplied to the new Management Plan’s standard rate and will continue through the original promotional expiration date stated in Client’s prior Order Form.
B5. Limitation of Liability
Provider’s total liability under this Agreement shall not exceed the total fees paid by Client to Provider in the six (6) months preceding the event giving rise to the claim. In no event shall Provider be liable for any indirect, incidental, special, or consequential damages. For claims arising under a specific service, the six (6) month period is measured from that service’s own Service Commencement Date (see the Commencement of Services section above), not from the Agreement Effective Date.
B6. Indemnification
B6.1 Client agrees to indemnify and hold Provider harmless from any third-party claims arising from content, materials, or instructions Client provides to Provider, including claims of copyright, trademark, or other intellectual property infringement.
B6.2 Provider agrees to indemnify and hold Client harmless from any third-party claims arising directly from Provider’s gross negligence or willful misconduct in performing the Services.
B6.3 This Section survives termination of this Agreement.
B7. Confidentiality
Each party agrees to keep confidential any non-public business information disclosed by the other party in connection with this Agreement, except as required by law. Where the parties have executed a separate Mutual Non-Disclosure Agreement, the terms of that agreement will govern in the event of any conflict with this Section. This confidentiality obligation survives termination of this Agreement for a period of two (2) years.
B8. Dispute Resolution
B8.1 The parties will attempt in good faith to resolve any dispute arising under this Agreement through informal negotiation before pursuing formal action.
B8.2 Any legal action arising under this Agreement will be brought in the state or federal courts located in Henry County, Georgia, and each party consents to the jurisdiction of such courts.
B8.3 In any action to collect unpaid fees under this Agreement, the prevailing party is entitled to recover reasonable attorney’s fees and costs.
B9. Governing Law
This Agreement is governed by the laws of the State of Georgia, without regard to conflict of law principles.
B10. Notices
B10.1 Any written notice required under this Agreement will be delivered by email to the addresses on file for each party, and is deemed received upon confirmation of delivery or the next business day if sent outside business hours.
B10.2 Either party may update their notice address by providing written notice to the other party per this Section.
B11. Assignment
B11.1 Provider may assign this Agreement in connection with a sale, merger, or restructuring of its business, provided the assignee agrees to assume all obligations under this Agreement.
B11.2 Client may not assign this Agreement without Provider’s prior written consent, except in connection with a sale or transfer of substantially all of Client’s business, in which case this Agreement will bind Client’s successor.
